Quickbase Acceptable Use Policy

By using Quickbase Services, you agree to comply with this Acceptable Use Policy (the “Policy”). All terms used herein shall have the meaning accorded to such terms in the Quickbase Terms of Service unless otherwise defined herein.
1. Responsibility for Content
You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from which such Content originated. This means that you, and not Quickbase, are entirely responsible for all Content that you upload or otherwise transmit via the Services. Quickbase does not control the Content uploaded or otherwise transmitted by you or other customers via the Services and, as such, does not guarantee the security, accuracy, integrity or quality of such Content.
In this Policy, "Content" means information, data, text (including but not limited to names of files, databases, directories and groups of the same), software, applications, music, sound, photographs, graphics, video, messages or other materials; and "Services" means the services and/or facilities that Quickbase provides to you, for example, by subscription or by means of an Quickbase-branded Web site.
2. Prohibited Conduct
You agree to not use the Services, and you will not permit any third party to use the Services, to directly or indirectly: (a) upload or otherwise transmit any Content or domain name that is unlawful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) harm minors in any way; (c) impersonate any person or entity, including, but not limited to, any Quickbase representative, or misrepresent your affiliation with any person or entity; (d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Services; (e) upload or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); (f) upload or otherwise transmit any Content or domain name that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any person; (g) upload or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas of the Services that may be designated for such purpose; (h) upload or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (i) harm, interfere with or disrupt the Services or servers or networks connected to the Services or attempt to gain unauthorized access to, or otherwise violate the security of Quickbase’s (or another party's) server, network, network access, personal computer or control devices, software or data, or other system, or to attempt to do any of the foregoing; (j) violate any applicable law or regulation, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission and any rules of any securities exchange, and laws regarding the export of technical data; (k) incite or provide instructional information about illegal activities; or (l) conduct raffles, contests, lotteries or sweepstakes, except in those areas of the Services that may be designated for such purpose.
3. Enforcement and Notice
You are responsible for taking prompt corrective action(s) to remedy a violation of this Policy and to help prevent similar future violations. Your failure to observe the guidelines set forth in this Policy may result in Quickbase taking actions anywhere from a warning to a suspension or termination of your Services. When feasible, Quickbase may provide you with a notice of a violation of this Policy via e-mail. Quickbase reserves the right, however, to act immediately and without notice to suspend or terminate affected Services in response to a court order or government notice that certain conduct must be stopped or when Quickbase reasonably determines, that the conduct may: (1) expose Quickbase to sanctions, prosecution, civil action or any other liability, (2) cause harm to or interfere with the integrity or normal operations of Quickbase's network or networks with which Quickbase or the Services are interconnected, (3) interfere with another Quickbase customer’s use of the Services, (4) violate any applicable law, rule or regulation, or (5) otherwise present an imminent risk of harm to Quickbase or Quickbase customers.
Quickbase has no obligation to monitor content of any materials distributed or accessed using the Services. However, Quickbase may monitor content of any such materials as necessary to comply with applicable laws, regulations or other governmental or judicial requests; or to protect the Quickbase network and its customers.
4. Other Agreements; Updates
This Policy is subject to all applicable agreements and terms and conditions between you and Quickbase. This Policy is subject to change without notice and the revised Policy will be posted at https://www.quickbase.com/acceptable-use-policy. It is your responsibility to check this Website from time to time for updates.
